1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Vida Verified website, applications, platform, verification tools, monitoring services, and related services (collectively, the "Services").
Vida Verified is a product of Medavida, Inc., a Delaware corporation headquartered in Atlanta, Georgia. References to "Vida Verified," "Medavida," "we," "us," or "our" mean Medavida, Inc.
By creating an account, purchasing a subscription, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of a healthcare practice, pharmacy, employer, company, or other organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" includes both you and the organization.
If you do not agree to these Terms, you may not access or use the Services.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.
By accessing or using the Services, you represent and warrant that:
- You meet all eligibility requirements
- You have the authority to enter into these Terms
- All information you provide is accurate, current, and complete
- Your use of the Services complies with all applicable laws, regulations, professional obligations, and contractual requirements
The Services are intended primarily for healthcare professionals, healthcare practices, pharmacies, healthcare organizations, authorized business users, and other parties with a legitimate need to verify or monitor professional credentials.
3. Description of Services
Vida Verified provides healthcare provider identity, credential, eligibility, compliance, and professional license verification and monitoring services.
Depending on the selected service, the Services may include:
- Verification of professional licenses and license status
- National Provider Identifier verification
- Drug Enforcement Administration registration verification
- Identity and contact-information verification
- Verification of professional certifications, specialties, affiliations, or practice information
- Medical director and prescriber relationship mapping
- Monitoring for credential expirations, suspensions, restrictions, lapses, or status changes
- Sanctions, exclusions, disciplinary-action, and public-record screening
- Provider, practice, compliance, or risk status reporting
- Verification badges, status pages, reports, alerts, and related tools
- Integration of verification information into underwriting, onboarding, payment, pharmacy, or other business workflows
The availability and scope of individual Services may vary by subscription, account type, jurisdiction, data availability, and applicable agreement.
Verification results reflect information available from government agencies, licensing boards, credentialing databases, public records, third-party providers, and other sources at the time a verification or monitoring check is performed.
Vida Verified does not issue professional licenses, certifications, registrations, or government credentials. We do not control third-party databases and cannot guarantee that third-party information is complete, current, accurate, or free from error.
Verification through Vida Verified does not constitute legal, medical, regulatory, employment, underwriting, or compliance advice. It also does not guarantee that an individual or organization is qualified, suitable, compliant, or eligible for any particular relationship, transaction, privilege, payment service, advertising platform, pharmacy relationship, or other opportunity.
4. Account Registration and Security
You may be required to create an account to access certain Services.
You agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information
- Keep your login credentials confidential
- Use reasonable safeguards to prevent unauthorized account access
- Notify us promptly of suspected unauthorized use, security incidents, or credential compromise
- Accept responsibility for activity conducted through your account, except to the extent prohibited by law
You may not share account credentials with unauthorized individuals or permit more users to access the Services than allowed under your subscription or agreement.
We may require multifactor authentication, identity confirmation, or additional account-verification measures.
5. Authorized Users and Organizational Accounts
An organization may authorize employees, contractors, administrators, healthcare professionals, or other representatives to access its account.
The organization is responsible for:
- Determining which individuals may access its account
- Assigning appropriate access permissions
- Removing access when an authorized user no longer requires it
- Ensuring that authorized users comply with these Terms
- All activities conducted through its organizational account
An account administrator may be able to access, manage, add, remove, or review information associated with authorized users and verified providers.
6. User Obligations and Prohibited Conduct
You agree to use the Services only for lawful, authorized, and legitimate business or professional purposes.
You may not:
- Provide false, incomplete, misleading, altered, or fraudulent information
- Submit information or request verification concerning another person without proper authorization or a lawful basis
- Impersonate another person, healthcare professional, organization, or government authority
- Misrepresent a verification result, credential status, badge, report, or affiliation
- Use the Services to discriminate unlawfully or make a decision prohibited by applicable law
- Use verification information for unauthorized surveillance, harassment, intimidation, or other improper purposes
- Access, use, disclose, or distribute personal information without proper authorization
- Use the Services in violation of healthcare, privacy, employment, consumer-reporting, professional-licensing, payment, or other applicable laws
- Attempt to gain unauthorized access to an account, system, network, database, or other component of the Services
- Probe, scan, test, circumvent, or interfere with security or authentication measures
- Introduce malware, viruses, harmful code, or disruptive technology
- Reverse engineer, decompile, disassemble, copy, or attempt to derive the source code or underlying structure of the Services
- Use bots, scraping tools, crawlers, automated queries, or similar methods without our prior written authorization
- Use the Services to develop or improve a competing product, database, or verification service
- Resell, sublicense, publish, redistribute, or commercially exploit verification results except as expressly permitted by us
- Remove or alter proprietary notices, disclaimers, timestamps, or source information
- Use Vida Verified branding, badges, or verification status after authorization has expired, been suspended, or been revoked
We may investigate suspected violations and cooperate with regulatory authorities, licensing boards, law enforcement, payment partners, or other appropriate parties.
7. Provider Information and Authorization
When you submit information concerning a healthcare professional, you represent and warrant that:
- You are the healthcare professional, or you have appropriate authorization to submit and process the information
- The information is accurate and complete to the best of your knowledge
- You have provided any legally required notices and obtained any legally required consents
- Your submission and use of the information comply with applicable privacy, healthcare, professional, employment, and consumer-reporting laws
Healthcare professionals using the Services authorize Vida Verified and its service providers to contact licensing boards, government agencies, credentialing databases, educational institutions, professional organizations, identity-verification providers, and other appropriate sources to verify submitted information.
8. Verification Requests Initiated by Third Parties
A healthcare practice, pharmacy, payment provider, advertising platform, employer, institution, or other authorized requesting party may initiate or sponsor a verification through Vida Verified.
When verification is initiated by a third party:
- The requesting party may receive verification results, credential status, alerts, risk indicators, or other authorized information
- Your use of the Services may also be subject to an agreement between Vida Verified and the requesting party
- The requesting party is independently responsible for its use of verification information and any decisions it makes
- Vida Verified is not responsible for the requesting party's independent actions, decisions, policies, or legal obligations
We process personal information as described in our Privacy Policy and applicable agreements.
9. Verification Badges and Status Pages
Certain subscriptions may allow an eligible user or organization to display a Vida Verified badge, credential status, verification page, or similar indicator.
Permission to display a Vida Verified badge is limited, revocable, nonexclusive, and subject to continued eligibility.
You agree that you will not:
- Modify, obscure, recreate, or misrepresent a Vida Verified badge
- Display a badge for a person, organization, website, or service that has not been verified
- Suggest that Vida Verified endorses, guarantees, accredits, or certifies the quality of medical care or other services
- Continue displaying a badge after your subscription, authorization, or verified status ends
- Use a badge in a manner that is deceptive, unlawful, or inconsistent with our brand guidelines
We may suspend, update, or revoke badge access if credential information changes, payment is overdue, an account is suspended, or we reasonably believe the badge is being misused.
10. Monitoring and Status Changes
Certain Services may periodically monitor credentials, licenses, registrations, sanctions, exclusions, or other professional information.
Monitoring frequency may vary by data source, jurisdiction, subscription, and technical availability. A credential change may occur before it appears in a source database or before Vida Verified receives or processes the updated information.
You remain responsible for maintaining valid credentials and complying with all professional and legal obligations. You may not rely solely on Vida Verified to identify every expiration, restriction, suspension, investigation, disciplinary action, or status change.
Vida Verified may update a verification result or status at any time based on newly available information.
11. Fees, Subscriptions, and Payment
Certain Services require payment of subscription, verification, usage, seat, integration, or other fees presented at the time of purchase or stated in a separate order form or agreement.
By providing a payment method, you authorize us and our payment processor to charge all applicable fees, taxes, and other amounts.
Unless otherwise stated:
- Subscription fees are billed in advance
- Subscriptions automatically renew for successive billing periods until canceled
- You must cancel before the renewal date to avoid the next recurring charge
- Fees are nonrefundable except where required by law or expressly stated in writing
- Adding providers, seats, users, features, or services may result in additional charges
- Removing a provider, seat, or user may not create a prorated refund or credit
- You are responsible for applicable taxes, excluding taxes based on our net income
We may change subscription prices or fees by providing reasonable advance notice. Price changes will generally take effect at the beginning of a future billing period.
We may suspend or limit access for overdue or unsuccessful payments.
12. Cancellation
You may cancel a subscription through the account-management tools made available through the Services or by contacting customer support.
Unless otherwise stated, cancellation takes effect at the end of the current paid billing period. You will retain access to the applicable Services through the end of that period, subject to these Terms.
Canceling a subscription does not automatically require us to delete verification records that we are legally, contractually, or operationally permitted or required to retain.
13. Intellectual Property
The Services and all related technology, software, interfaces, workflows, designs, graphics, text, reports, databases, compilations, trademarks, logos, badges, content, and documentation are owned by Medavida, Inc. or its licensors and are protected by intellectual-property laws.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, nonexclusive, nontransferable, nonsublicensable, revocable right to access and use the Services for their intended internal business or professional purpose.
These Terms do not transfer ownership of any intellectual property to you.
You may not use the names, trademarks, service marks, logos, or branding of Vida Verified or Medavida without prior written permission, except through an authorized badge or integration provided through the Services.
14. Feedback
If you provide ideas, suggestions, recommendations, requests, or other feedback concerning the Services, you grant Medavida a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation.
This section does not transfer ownership of your confidential information or personal information.
15. Third-Party Services and Data Sources
The Services may rely on or integrate with third-party providers, databases, licensing boards, government systems, payment processors, analytics providers, identity-verification tools, or other services.
Third-party systems may experience delays, errors, outages, changes, or interruptions outside our control.
We do not control and are not responsible for:
- The accuracy or completeness of third-party information
- The availability or performance of third-party services
- Changes made by a government agency, licensing board, or other source
- A third party's privacy, security, or contractual practices
- Decisions made by a third party based on verification information
Your use of certain third-party services may be subject to separate terms and privacy policies.
16. Privacy
Our collection, use, retention, and disclosure of personal information are described in the Vida Verified Privacy Policy.
You agree to use personal information obtained through the Services only for authorized purposes and in compliance with applicable privacy and data-protection laws.
Unless expressly stated in a written agreement, the Services are not intended to serve as the sole system for storing medical records or protected health information.
17. Confidentiality
You may receive nonpublic information through the Services, including verification reports, credential information, business information, system documentation, pricing, or other confidential material.
You agree to:
- Use confidential information only for authorized purposes
- Protect it using reasonable safeguards
- Limit access to individuals with a legitimate need to know
- Not disclose it except as permitted by law or written agreement
These obligations do not apply to information that is publicly available through no breach of these Terms, lawfully obtained from another source without confidentiality restrictions, independently developed without use of confidential information, or required to be disclosed by law.
18. Service Availability and Modifications
We may add, remove, modify, suspend, or discontinue features or portions of the Services.
We do not guarantee that every feature, data source, verification type, jurisdiction, or integration will remain available.
We may perform maintenance, updates, security changes, or other work that temporarily affects availability. Where reasonably practical, we may provide notice of material planned interruptions.
19. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, VERIFICATION RESULTS, REPORTS, BADGES, ALERTS, DATA, AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE."
MEDAVIDA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND QUIET ENJOYMENT.
WE DO NOT WARRANT THAT:
- THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE
- ALL THIRD-PARTY INFORMATION WILL BE ACCURATE, COMPLETE, OR CURRENT
- EVERY CREDENTIAL CHANGE OR COMPLIANCE ISSUE WILL BE IDENTIFIED
- A VERIFICATION RESULT WILL SATISFY THE REQUIREMENTS OF A PARTICULAR REGULATOR, PAYMENT PROVIDER, PHARMACY, EMPLOYER, ADVERTISING PLATFORM, OR OTHER THIRD PARTY
- USE OF THE SERVICES WILL RESULT IN APPROVAL, CERTIFICATION, LICENSURE, PAYMENT PROCESSING, ADVERTISING ACCESS, EMPLOYMENT, OR ANY OTHER OUTCOME
YOU ARE RESPONSIBLE FOR EXERCISING INDEPENDENT JUDGMENT AND CONDUCTING ANY ADDITIONAL DUE DILIGENCE REQUIRED FOR YOUR PURPOSE.
Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDAVIDA, ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
THIS EXCLUSION INCLUDES LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, DATA, CREDENTIAL STATUS, CUSTOMERS, OR USE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- The fees you paid directly to Vida Verified for the Services during the 12 months immediately preceding the event giving rise to the claim; or
- One hundred U.S. dollars ($100)
These limitations apply regardless of the legal theory asserted and even if a remedy fails of its essential purpose.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
21. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Medavida, its affiliates, and their respective directors, officers, employees, contractors, licensors, service providers, and agents from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- Your access to or use of the Services
- Information or materials you submit
- Your misuse of verification information, reports, badges, or status pages
- Your violation of these Terms
- Your violation of applicable law or regulation
- Your infringement or violation of another person's rights
- Actions taken through your account or by your authorized users
- A decision you make based on information obtained through the Services
We reserve the right to control the defense and settlement of any indemnified matter. You agree to reasonably cooperate with that defense.
22. Suspension and Termination
We may suspend, restrict, or terminate your access to the Services if:
- You violate these Terms or another agreement with us
- Payment is overdue or unsuccessful
- We suspect fraud, misuse, unauthorized activity, or a security threat
- Your credentials expire, lapse, become restricted, or cannot be verified
- Continued access may create legal, regulatory, financial, security, or reputational risk
- A government authority, licensing board, payment partner, or other authorized party requires or requests suspension
- We discontinue the applicable Service
Where appropriate, we may provide notice and an opportunity to correct the issue. However, we may act immediately where reasonably necessary to protect users, data, systems, partners, or the public.
Upon termination, your right to use the Services ends immediately. Provisions that by their nature should survive termination will remain in effect, including provisions concerning intellectual property, confidentiality, disclaimers, liability, indemnification, disputes, and payment obligations.
23. Governing Law and Venue
These Terms and any dispute arising out of or relating to the Services will be governed by the laws of the State of Georgia, without regard to its conflict-of-law rules.
Subject to any applicable arbitration agreement or law requiring otherwise, the state and federal courts located in Fulton County, Georgia will have exclusive jurisdiction over disputes arising from these Terms or the Services.
You consent to the personal jurisdiction and venue of those courts.
24. Informal Dispute Resolution
Before initiating formal legal proceedings, you agree to contact us and attempt to resolve the dispute informally.
A written notice of dispute must include:
- Your name and contact information
- The account or organization involved
- A description of the dispute
- The relief requested
- Supporting documentation reasonably necessary to evaluate the matter
Notices of dispute may be sent to legal@medavida.com.
The parties will attempt in good faith to resolve the dispute for at least 30 days after the notice is received before commencing formal proceedings, unless immediate relief is reasonably necessary.
25. Changes to These Terms
We may modify these Terms periodically to reflect changes in the Services, business practices, legal requirements, or other circumstances.
We will post the revised Terms with an updated "Last updated" date. Where required, we may also provide notice through the Services, by email, or through another appropriate method.
Your continued use of the Services after revised Terms take effect constitutes acceptance of those revised Terms.
If you do not agree to the revised Terms, you must stop using the Services and cancel any applicable subscription.
26. General Terms
Entire Agreement
These Terms, the Privacy Policy, any applicable order form, and any other written agreement incorporated by reference constitute the entire agreement concerning your use of the Services.
If there is a conflict between these Terms and a separately signed agreement, the separately signed agreement will control to the extent of the conflict.
Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, or operation of law.
Severability
If any provision is determined to be invalid or unenforceable, the remaining provisions will remain in effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
Waiver
Our failure to enforce a provision does not waive our right to enforce it later.
No Third-Party Beneficiaries
These Terms do not create rights for any third party except as expressly stated.
Electronic Communications
You consent to receive agreements, notices, disclosures, and other communications electronically. Electronic communications satisfy any legal requirement that such communications be in writing.
Force Majeure
We are not responsible for delay or failure caused by circumstances beyond our reasonable control, including natural disasters, government actions, labor disputes, internet or utility failures, cyberattacks, public-health emergencies, or failures of third-party systems.
